【Malaysia Company Registration Tips】Understanding the Importance of the Company's Articles of Association

Today, FOZL's editor would like to share some knowledge about Malaysian company registration. Many entrepreneurs ask when registering a company: Does the company have to submit its articles of association to the Companies Commission of Malaysia ( SSM )? In fact, for a public limited company, having articles of association is optional, while for a limited liability company, it is mandatory. Next, let's quickly understand the main contents of the articles of association.

Malaysian articles of association usually include four key contents: First, the company's purpose; second, the specific scope of the company's capabilities, rights, or privileges in its operations. If there are any clauses in the articles of association that restrict these capabilities, rights, or privileges, they also need to be clearly stated in the articles of association; third, according to 2016 the relevant provisions of the Companies Act, the articles of association also need to include some specific matters; finally, the company can add other clauses according to its own needs.

It should be noted that after adopting the articles of association, the company must submit them to the registry within thirty ( 30 ) days.
